Art.1 – DENOMINATION

The Association “BEN’S FRIENDS” is established in memory of Beniamino Nespor as   a non-profit, apolitical association, governed by art.36 and ff. of the Codice civile.

Art. 2 – SEAT

The seat of the Association is in Milano, via Cadore n. 36.

Art. 3 – DURATION

The Association has an unlimited duration.

Art. 4 – GOALS

The Association supports and disseminates creative gastronomic culture among young people and collects funds to support projects in gastronomic culture compatible with the values of friendship, respect, and equality.  It does so through a variety of activities

including providing awards or scholarships for a young promising chef.

ART. 5 – FUNDS AND REVENUES 

The funds of the Association consists of goods transferred to the Association, for whatever reason, by the members and by private or public entities.

The revenues of the Association result from the annual payments of the members and from other payments or allowances from private or public entities.

Operating surpluses will be reinvested to pursue the goals of the Association.

ART. 6 – ASSOCIATI

Anyone accepting the goals of the Association as expressed in art, 4 can become a member of the Association.

Art.7 – ORGANI DELL’ASSOCIAZIONE

The bodies of the Association are:

  • The Assembly of the members;
  • The Governing Council;
  • The President and, if appointed, the Vice-President.

Art.8 – ASSEMBLEA

The Assembly consists of members who have regularly contributed their yearly contribution.

Art. 9 – CONSIGLIO DIRETTIVO

The members of the Governing Council are  Stefano Nespor, Alice Winkler, Marina Nespor, and Giuseppe De Franciscis, all  appointed with no time limit.

Upon a member’s termination for any reason, the remaining members will appoint a new member.

Art.10 – ATTRIBUZIONI

The Governing Council administers the activities of the Association.

Specifically, the Governing Council:

Admits new members;

Sets the amount of the annual contribution of the members;

Prepares financial statements and a yearly management report;

Prepares all documents to be approved by the Assembly;

Convenes the Assembly;

Executes decisions of the Assembly;

Appoints the President, the Vice President, and the Treasurer;

Prepares programs and monitors their implementation;

Manages the estate of the Association;

Decides purchases and other expenditures.

Art. 11 – PRESIDENTE E VICE PRESIDENTE

The Governing Council elects the President from its members. The President represents the Association vis-à-vis third parties and in cases of controversy.  He or she convenes the   Council and implements Council decisions.

Art. 12 – SCIOGLIMENTO

In the event of dissolution of the Association, the Assembly decides how to liquidate and appoints one or more liquidators.
